Terms of Service - Revenue Reconciliation

These Solution Terms apply specifically to the Revenue Reconciliation solution (“Reconciliation Solution”), a service provided within the ThinkVAL platform. These terms are governed by ThinkVAL’s main Terms of Service and apply in addition to them.

1. Third-Party Dependencies and User Responsibility

  • The Reconciliation Solution interacts with third-party platforms (such as delivery, payment, and marketplace vendors) to support data collection and reconciliation. Users are responsible for maintaining active accounts and access rights with these third parties.
  • Changes in Third-Party Services: ThinkVAL will make reasonable efforts to adapt to modifications in third-party data structures, report formats, or access protocols that may impact the Reconciliation Solution. Users acknowledge that such updates may require time to implement, during which there may be temporary interruptions or discrepancies. ThinkVAL disclaims liability for any discrepancies occurring during this adaptation period.

2. Automated Data Collection

The Service is an analytics and reporting solution that helps customers collect their data for reporting, analysis, process automation and active data management. You may connect to the Services using any Internet browser. You are responsible for obtaining access to the Internet and the equipment necessary to use the Services. You may create, edit, publish and share the contents of your THINKVAL Accounts (“Account”). THINKVAL will not be responsible for notifying you of any upgrades, fixes or enhancements to any such software, or for any compromise of data transmitted across computer networks or telecommunications facilities (including but not limited to the Internet), which are not owned or operated by THINKVAL. THINKVAL also assumes no responsibility for the reliability or performance of any connections as described in this section

3. Data Integration and Connectivity

The Reconciliation Solution includes both direct connectivity and user-uploaded report options, depending on platform compatibility. For current integration capabilities, users should refer to the latest documentation or contact ThinkVAL support.

4. Indemnification

Users agree to indemnify and hold ThinkVAL harmless from any claims, damages, or losses arising from:
  • Data inaccuracies or discrepancies due to changes in third-party data structures, formats, or access methods.
  • User misconfiguration or failure to implement necessary updates to maintain service functionality.

5. Limitations of Liability

ThinkVAL’s liability is limited as described in Section 19 of the main Terms of Service. ThinkVAL shall not be responsible for discrepancies or data issues resulting from third-party data inconsistencies, automated data collection interruptions, or user actions.
